Terms of Service

These Terms of Service ("Terms") govern your access to and use of Remise ("Service"), operated by Remise ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Acceptance of terms

By accessing or using Remise, you confirm that you are at least 16 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using Remise on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of service

Remise is a client portal platform for freelancers and small agencies. It provides tools to share project deliverables, communicate with clients, send invoices, and collect payments — all through a single branded portal URL.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice. We will not be liable to you for any modification, suspension, or discontinuation of the Service.

3. User accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:

• Provide accurate and complete information when creating your account.
• Keep your password secure and not share it with others.
• Notify us immediately at hello@remise.studio if you suspect unauthorized access to your account.
• Not create multiple accounts or use another person's account without permission.

4. Acceptable use

You agree not to use Remise to:

• Violate any applicable laws or regulations.
• Upload, transmit, or share content that is illegal, harmful, defamatory, obscene, or infringes on third-party rights.
• Distribute malware, spam, or any malicious code.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Scrape, crawl, or otherwise systematically extract data from the Service without our written permission.
• Impersonate any person or entity, or misrepresent your affiliation with a person or entity.
• Use the Service for purposes that compete directly with Remise.

We reserve the right to suspend or terminate accounts that violate these guidelines, without prior notice.

5. Intellectual property and your content

Your content is yours. You retain full ownership of all content you upload or create within Remise, including files, messages, project descriptions, and client data. We claim no intellectual property rights over your content.

By uploading content to Remise, you grant us a limited, non-exclusive, royalty-free license to store, process, and display that content solely for the purpose of providing the Service to you.

The Remise name, logo, application code, and design are the intellectual property of Remise and are protected by applicable copyright and trademark laws. You may not use them without our express written permission.

6. Payment terms

Paid plans are billed monthly or annually in advance. All prices are listed in US dollars unless otherwise stated.

Payments are processed by Stripe. By subscribing to a paid plan, you authorize us to charge your payment method on a recurring basis until you cancel. You can cancel your subscription at any time from your account settings.

We do not offer refunds for partial periods. If you downgrade or cancel, your access to paid features continues until the end of your current billing period.

We reserve the right to change our pricing with 30 days notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

7. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure. You use the Service at your own risk.

8. Limitation of liability

To the maximum extent permitted by applicable law, Remise and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.

Our total liability to you for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

9. Termination

You may terminate your account at any time by deleting it from your account settings or by contacting us at hello@remise.studio.

We may suspend or terminate your account immediately if you violate these Terms, if we are required to do so by law, or if we reasonably believe that continued access poses a risk to the Service or other users. Upon termination, your right to use the Service ceases immediately and we will delete your data in accordance with our Privacy Policy.

10. Changes to these terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by displaying a prominent notice in the application at least 14 days before the changes take effect. If you continue to use the Service after the changes take effect, you agree to the revised Terms. If you do not agree, you may terminate your account before the changes take effect.

11. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
